Subscription terms

1. Who you are contracting with

The Project Wiki and Integrations subscription is supplied by:

Max Ludovico Hofer, sole trader, Italy. Postal address and codice fiscale available on request from admin@fabbricaelettrica.com. Contact: admin@fabbricaelettrica.com.

The subscription is sold to you by Paddle.com Market Limited, acting as merchant of record and as our authorised reseller. Paddle is the party that appears on your card statement, issues your invoice, handles VAT and sales tax, and is the party you exercise statutory purchase rights against (§6). You purchase the product from Paddle using its services — see the Paddle checkout buyer terms.

Max Ludovico Hofer is the supplier: we make the software, license it to you under these terms, and are who you talk to about how it works.

2. What the subscription covers

The subscription unlocks two features of the Blueprint AI plugin:

Project Wiki — Semantic indexing and retrieval over your project, the graph view, and per-document access control for your team.

Integrations — Discovery, connection and agent skills for external tools, so your copilot can act on them from inside the editor.

Everything else in Blueprint AI is covered by your Fab licence and is not affected by this subscription. If the subscription ends, the rest of the plugin continues to work exactly as before.

Both features are included on every plan. The plans differ only in how the subscription is counted and priced (§3).

3. Plans, price, billing and renewal

The subscription is sold on two plans. You choose one at the checkout.

Indie Studio — €30.00 per studio per month. For studios with under $1,000,000 USD in annual gross revenue — the same threshold Epic uses for Unreal Subscription seats.

Per seat — €9.00 per seat per month. Any company, any size. No revenue threshold.

Indie Studio eligibility is a term of this contract, and you declare it. That plan may be bought only by a company whose annual gross revenue is under $1,000,000 USD. Nothing in the software measures that, and we do not ask you to prove it; you confirm it at the checkout and we rely on your word. If your company passes the threshold, move to the Per seat plan at your next renewal. We will not charge you retrospectively for the months before it.

Per seat has no eligibility condition. One seat is one named individual, who may use it on more than one of their own machines. It is not per computer and not per project.

• After any free trial (§4), the subscription renews automatically every month and your payment method is charged the price of your plan on each renewal.
• It continues renewing until you cancel. There is no minimum term and no cancellation fee.
• You can move between plans at any time from the customer portal (§5).

Tax. Where the law requires consumer prices to include tax — the EU and the UK among them — the price above is what you pay, with VAT already inside it. Where it does not, notably the United States, sales tax is added at the checkout. Either way Paddle works it out from your address and shows you the total before you pay anything.

• We will tell you before each renewal and before the first charge at the end of a free trial, by email and in the editor. The email states the amount you will be charged, that it renews monthly, and your right to cancel.

4. Free trial

• New subscribers get a 2-month free trial.
• No payment method is required to start the trial.
• At the end of the trial the subscription starts and you are charged the price of the plan you chose (§3). You are told this before you start the trial, and again before the trial ends, and you provide a payment method at that point rather than at the start.
• Cancel at any point during the trial and you are charged nothing.
• The trial is once per customer.

Starting a trial places you under no obligation to pay. That obligation arises only when you supply a payment method at conversion, on Paddle’s checkout, which is where you confirm it.

5. Cancelling

You can cancel at any time from the Paddle customer portal, linked from every email we send you and from the plugin. Cancellation never requires contacting support.

When you cancel:

• you keep access until the end of the period you have already paid for;
• you are not charged again;
• nothing you have made is deleted; and
• the paid features switch off. The Wiki index and the integrations you connected stay on your machine, but the Wiki and Integrations features stop working. Your saved connections are retained so that subscribing again restores them as they were.
• The rest of Blueprint AI is unaffected and continues to work.

Changing plan

Moving between the two plans is a change to your subscription, made in the Paddle.com Market Limited portal, and takes effect at your next renewal. Nothing is lost in either direction: both plans grant the same two features.

Reassigning a seat, which is not the same as cancelling

This applies to the Per seat plan; the Indie Studio plan has no seats to move. If you hold more than one seat, you can move a seat from one person to another without cancelling anything. Sign that person out of Blueprint AI, and the seat is free for someone else to sign in to.

• Reassigning does not change what you pay. The seat still exists; a different person now uses it.
• Reassigning is not a way to share. A seat is one person at a time, not one person at a time per hour — moving it back and forth so that two people can both work is sharing, and §9 asks you not to.
• Removing a seat you no longer need is a change to your subscription, made in the Paddle portal, and takes effect at your next renewal.

6. Right of withdrawal (EU/EEA consumers)

If you are a consumer in the EU or EEA, you have a statutory right to withdraw from a distance contract within 14 days, without giving a reason. That period runs from the day the contract is concluded — if you started on a free trial, that is the day you started the trial, not the day you were first charged.

Because Paddle is the seller (§1), you exercise this right against Paddle: choose “Request refund” at paddle.net, or use the receipt link in your confirmation email. You may also write to admin@fabbricaelettrica.com and we will pass it on.

We never ask you to waive this right, and starting to use the software does not cost you it. There is no “I agree to lose my right of withdrawal” box anywhere in this product, and we do not charge you for the use you made of the paid features before withdrawing.

Because the statutory period runs from the start of your trial, a 2-month trial user has no statutory withdrawal right left by the time of the first charge. That is not a fair place to leave you, which is why §7 gives you more.

7. Refunds

Beyond your statutory rights:

• Every charge is refundable in full for 14 days after it is taken, for any reason — the first one and every renewal alike.
• If you are charged after cancelling, that is our error and is refunded in full, whenever you notice it.
• If the features do not work and we cannot fix it, the current month is refunded.
• Ask through Paddle, or write to admin@fabbricaelettrica.com.

8. What we provide, and what we do not promise

• The entitlement service is expected to be available continuously, but is not guaranteed to be.
• A service outage does not lock you out. A valid subscription keeps working offline for 7 days past its last successful check (1 day if a payment has failed). This is a real mechanism, not a promise: the grace period is carried inside the signed entitlement your machine already holds.
• An outage never affects the free parts of the plugin. The chat panel and every other feature work with no entitlement check at all.
• We may change what the paid features do. If we materially reduce them, we will say so before the change and you may cancel.

9. Acceptable use

On the Per seat plan, one seat is one named person. That person may use it on as many of their own machines as they like — it is not per computer, not per project, and not per seat-in-use. A team of five people needs five seats.

On the Indie Studio plan there is no seat count: everybody working for the subscribing company is covered, however many that is. What bounds it is the revenue condition in §3, not a number of people.

Roles do not change that. The Wiki can restrict which documents a given role can open, so that legal, marketing or other material is visible only to the people it is meant for. That decides what a person sees; it never sub-divides a seat or lets two people share one.

You agree not to:

• share a seat between people, or pass one on instead of releasing it (§5);
• use a Indie Studio subscription for a company that does not meet its revenue condition, or to cover people who do not work for the subscribing company;
• resell, sublicense or rent the subscription;
• redistribute the downloaded payload, or the files it installs, to anyone.

We ask rather than prevent. The payload is ordinary files on your disk once downloaded, and we do not stop you copying them; there is no hardware locking, no phoning home about what you run, and no attempt to detect a shared seat. This section is the agreement we are relying on instead. We would rather say that plainly than imply a lock that is not there.

10. Changes to these terms

We will give notice by email before changing these terms. If a change disadvantages you, you may cancel before it takes effect.

11. Law and disputes

These terms are governed by Italian law — the law of the country the supplier is established in.

If you are a consumer, that choice cannot cost you anything. You keep every protection given to you by the mandatory law of the country you live in, and those protections prevail over anything in this document that says otherwise.

Where you can bring a claim, if you are a consumer: in the courts of the country you live in, or in the Italian courts — your choice. We may bring a claim against you only in the courts of the country you live in. You can also use the European Commission’s Online Dispute Resolution platform.

If you are a business rather than a consumer, the Italian courts have exclusive jurisdiction.

This section governs the supplier relationship. The purchase itself is from Paddle (§1), under Paddle’s own terms.
